Vivion Investments S.à r.l. (“Vivion” or the “Company”) announces the successful tap issue of an additional €140 million in aggregate principal amount (the “New Notes”) of its 5.625% existing senior secured notes due 2030 (ISIN XS3230546148) (the “Existing 2030 Notes”). The New Notes are issued to investors by way of a private placement. The New Notes will be consolidated and form a single series with the Existing 2030 Notes on or around 21 July 2026.
The net proceeds from the issuance will be used to fully redeem the Company’s outstanding senior secured notes due 2028 bearing a coupon of 6.50% plus PIK (ISIN XS2658230094), including the payment of accrued coupon, PIK interest and associated transaction costs and fees. Settlement of the transaction is expected to occur on or around 11 June 2026.
With the transaction, Vivion further optimizes its capital structure by reducing financing costs and extending the maturity profile of its financial indebtedness.
